1. About These Terms

These terms and conditions govern the provision of freight forwarding, logistics, and related services by GoodFreight Ltd, a company registered in England and Wales (company number: 15319179), with its registered office at West Road, Ipswich, Suffolk IP3 9FJ (referred to in these terms as GoodFreight, we, us, or our).

By engaging our services, submitting a quote request, or placing an order with us, you agree to these terms. If you do not agree with any part of these terms, please do not use our services.

These terms apply to all services provided by GoodFreight including but not limited to freight forwarding by air, sea, and road, customs brokerage, AOG freight services, and any ancillary services provided in connection with the above.

2. Services

GoodFreight acts as a freight forwarder and arranges the carriage of goods on behalf of clients. Unless explicitly agreed otherwise in writing, GoodFreight acts as agent for the client and not as a carrier. Any contracts of carriage are made between the client and the relevant carrier.

Where GoodFreight provides customs brokerage services, it does so as agent for the client and the client remains the importer or exporter of record. The client is responsible for the accuracy of all information provided to GoodFreight for customs purposes.

The specific services to be provided, along with applicable charges, will be confirmed in a written quotation or booking confirmation. Services not included in the confirmed quote will be charged additionally.

3. Client Responsibilities

You are responsible for:

  • Providing complete, accurate, and timely information about your goods, including description, weight, dimensions, value, HS code classification, and any special handling requirements.
  • Ensuring that your goods comply with all applicable laws, regulations, and restrictions in the country of origin, any transit countries, and the country of destination.
  • Obtaining all necessary export licences, import permits, and other authorisations required for your goods before the shipment departs.
  • Ensuring that your goods are adequately and appropriately packaged for the transport method and route.
  • Providing accurate contact details and being available to respond to queries during the shipment process.

GoodFreight accepts no liability for delays, additional costs, or losses arising from inaccurate, incomplete, or misleading information provided by the client.

4. Quotations and Pricing

Quotations provided by GoodFreight are based on the information available at the time of quotation and are subject to change if that information proves to be inaccurate or incomplete.

Quotations are valid for the period stated or, where no period is stated, for 48 hours from the date of issue.

Prices are exclusive of VAT and any applicable taxes unless stated otherwise. Import duties, taxes, and levies applicable in the destination country are not included in freight quotations unless explicitly stated.

Fuel surcharges, security surcharges, and other carrier-imposed surcharges may apply and will be advised at quotation stage. These surcharges are subject to change and will be billed at the rate applicable at the time of shipment.

For AOG and emergency freight services, pricing may be confirmed verbally and followed up in writing given the time-sensitive nature of these shipments.

5. Payment

Payment terms will be agreed at the time of engagement and confirmed in writing. Standard payment terms for new clients are payment in advance of shipment unless a credit account has been established.

Credit accounts may be established at GoodFreight's discretion following a credit application process. Credit account terms are 30 days from invoice date unless otherwise agreed.

Late payment interest will apply to overdue invoices at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

GoodFreight reserves the right to suspend services to clients with overdue accounts.

6. Liability

GoodFreight's liability as freight forwarder is limited as follows.

For loss or damage to goods, liability is limited to the lower of the actual proven loss or the limit applicable under the relevant international convention governing the mode of transport. For air freight, this is the Warsaw Convention or Montreal Convention as applicable. For sea freight, the Hague-Visby Rules as applicable. For road freight, the CMR Convention as applicable.

GoodFreight is not liable for loss or damage arising from: inherent vice of the goods; inadequate packaging by the client; compliance with instructions given by the client; war, strikes, or force majeure events; or the act or omission of the client, owner of the goods, or any person acting on their behalf.

GoodFreight is not liable for consequential, indirect, or special losses, including loss of profit, loss of revenue, or loss of market, whether or not such losses were foreseeable.

The client is responsible for obtaining adequate cargo insurance. GoodFreight does not provide cargo insurance unless explicitly agreed in writing as a separate service.

7. Dangerous Goods

The client must notify GoodFreight of any goods that are classified as dangerous, hazardous, or restricted under IATA Dangerous Goods Regulations, IMDG Code, ADR, or any other applicable regulations before booking.

The client is responsible for ensuring dangerous goods are correctly classified, packaged, labelled, and documented in accordance with the applicable regulations.

GoodFreight reserves the right to decline dangerous goods shipments that are not properly classified and documented, or where the appropriate handling arrangements cannot be confirmed.

8. Customs

Where GoodFreight provides customs brokerage services, it does so based on the information provided by the client. The client warrants that all information provided is accurate and complete.

The client is the importer or exporter of record and is legally responsible for compliance with all customs laws and regulations. Any penalties, fines, or additional duties arising from inaccurate declarations are the responsibility of the client.

GoodFreight will use reasonable skill and care in the preparation and submission of customs declarations but does not guarantee the outcome of customs clearance, which remains subject to the decisions of the relevant customs authority.

9. Force Majeure

GoodFreight is not liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, war, civil unrest, strikes or industrial action by third parties, extreme weather, pandemic or epidemic, or failure of third-party carriers or infrastructure.

In the event of a force majeure event, GoodFreight will notify the client as soon as reasonably practicable and will use reasonable endeavours to minimise the impact on the shipment.

10. Intellectual Property

All content on the GoodFreight website, including text, graphics, and branding, is the intellectual property of GoodFreight Ltd and may not be reproduced without written permission.

11. Data Protection

GoodFreight processes personal data in accordance with its Privacy Policy, which is available at goodfreight.com/privacy. By engaging with GoodFreight, you consent to the processing of personal data as described in that policy.

12. Governing Law

These terms and conditions are governed by the laws of England and Wales. Any disputes arising from these terms or the services provided by GoodFreight will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Amendments

GoodFreight reserves the right to amend these terms and conditions at any time. The current version will always be available at goodfreight.com/terms. Continued use of GoodFreight services following any amendment constitutes acceptance of the updated terms.
